Hyphrki ("Company," "we," "us," or "our") is an AI-powered SaaS platform that functions as an intelligent operating system, combining workflow automation, HR management, marketing automation, analytics, and a built-in AI voice agent.

2. Service Description

Hyphrki provides the following services through our platform:

• AI Voice Agent: Virtual COO functionality that executes tasks, provides updates, runs meetings, and answers queries using natural voice interaction
• Team & HR Management: Organization of roles, departments, and employee data through intelligent hierarchy systems
• Workflow & Communication: Internal collaboration tools, meeting summaries, and task coordination
• Marketing Automation: Campaign management, performance tracking, and automated content generation
• Scheduling & Bookings: Calendar management, client calls, and internal planning
• AI Analytics Hub: KPI monitoring, insights generation, and growth trend predictions

3. Eligibility and Account Creation

You must be at least 18 years old and capable of forming a binding contract to use our Service. If you are accessing the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4. License and Usage Rights

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Service for your internal business purposes only.

• Not attempt to use the Service to impersonate individuals without proper authorization
• Ensure compliance with all applicable privacy and data protection laws
• Not use the voice technology for deceptive, fraudulent, or harmful purposes

6. Intellectual Property Rights

The Service and all associated content, including but not limited to software, algorithms, user interfaces, graphics, text, and AI models, are owned by Hyphrki or its licensors and are protected by intellectual property laws.

You retain ownership of any data you input into the Service. By using our Service, you grant us a license to process, store, and analyze your data solely for the purpose of providing the Service.

7. Payment Terms and Billing

• Payment Processing: All payments are processed at the time of purchase through our secure payment gateway.
• Service Delivery: The AI voice agent product will be activated and delivered within three (3) business days after successful payment confirmation.
• Billing: Subscription fees are billed in advance according to your selected billing cycle (monthly or annually).
• Late Payment: Failure to pay on time may result in service suspension or termination.

8. No Refund Policy

ALL SALES ARE FINAL. NO REFUNDS WILL BE PROVIDED UNDER ANY CIRCUMSTANCES.

This includes but is not limited to:

• Change of mind after purchase
• Dissatisfaction with the Service
• Technical difficulties on your end
• Failure to use the Service
• Early termination of subscription

By purchasing our Service, you acknowledge and agree that no refunds will be issued for any reason whatsoever.

9. Service Availability and Performance

We strive to maintain high availability of our Service but do not guarantee uninterrupted access. The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind.

OUR TOTAL LIABILITY FOR ANY CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify, defend, and hold harmless Hyphrki and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.
